Project Work Terms

These Project Work Terms apply to websites, systems, apps and custom agents that KRM Technologies LLC ("KRM," "we") builds for a business ("you"). Each project has a written proposal that states the scope, price, payment schedule and timeline (the "Proposal"). The Proposal and these terms are the whole agreement for that project. If they conflict, the Proposal controls. Our general Terms of Service apply where these terms are silent.

The 30-day money-back guarantee does not apply to project work. It covers agent subscriptions only.

1. Scope

1.1 We build what the Proposal describes. Anything not in the Proposal is not included.

1.2 Change requests. If you want something added or changed after you sign, we send a written change note with any extra cost and time. Nothing changes until you approve it in writing, including by email.

1.3 Starting prices. Published prices ("from $3,100" for websites, "from $5,150" for systems, "from $10,300" for apps, "from $2,600" for custom agents) are starting points. Your price is the one in your signed Proposal.

2. Payment

2.1 Deposit. 50% of the project price is due when you sign. We start work when the deposit clears.

2.2 Remaining payments. Due as the Proposal sets out: for websites, the balance at launch; for systems, apps and custom agents, at the milestones listed in the Proposal.

2.3 Invoices are due within 7 days. If a payment is more than 15 days late, we may pause work until it is paid. Timelines move by the length of any pause.

2.4 Third-party costs (domain names, paid plugins, software licenses, stock images, API or hosting fees) are yours, paid directly or passed through at cost, unless the Proposal says they are included.

3. Your part

You provide the content, logins, access, decisions and feedback the project needs, on time. If we're waiting on you for more than 14 days, we may pause the project and move it back in our schedule. You are responsible for the accuracy and legality of everything you give us, including text, images and logos, and for having the right to use them.

4. Review and acceptance

4.1 When a deliverable is ready, we tell you. You have 5 business days to test it and tell us what doesn't match the Proposal.

4.2 We fix anything that doesn't match the Proposal at no extra cost. Requests beyond the Proposal are change requests under Section 1.2.

4.3 A deliverable is accepted when you approve it, when 5 business days pass without you reporting a mismatch, or when you start using it for your business, whichever comes first.

5. Ownership

5.1 What you own. Once you've paid in full, you own the finished deliverables built specifically for you: your website's design and content, your custom code, and your data.

5.2 What we keep. We keep ownership of our own tools, templates, components, frameworks, prompts, workflows and know-how that existed before your project or that we reuse across clients. You get a permanent, non-exclusive license to use them as part of your deliverables.

5.3 Before full payment, everything remains ours and your right to use it depends on paying.

5.4 Your accounts. Domain names are registered in your name. Where practical, hosting and software accounts are set up in your name, with access for us.

5.5 We may show the finished project in our portfolio unless you tell us not to in writing.

6. After launch

6.1 Fix period. For 30 days after acceptance, we fix any defect in what we built at no charge. A defect is something that doesn't work as the Proposal describes. It does not include new features, content changes, or problems caused by changes made by you or someone else.

6.2 Ongoing plans. Ongoing work is only included if you buy a plan:

  • Website managed plan, $209 a month: hosting, updates and the content changes listed in the plan. Changes outside the plan are quoted per job.
  • Support for systems, apps and custom agents, from $515 a month: the support scope stated in the Proposal.

6.3 Ongoing plans run month to month and can be canceled anytime, effective at the end of the paid month.

6.4 Custom agents that answer calls or send messages also run under our agent subscription terms once live, including the rules on call recording, AI disclosure and text messaging.

7. Cancelling a project

7.1 You can cancel a project at any time by email. You pay for the work done up to that date, based on the Proposal's price and milestones. The deposit is not refunded once work has started.

7.2 We can cancel a project if you don't pay or don't provide what we need for more than 30 days, after emailing you. You pay for work done to that date.

7.3 On cancellation, we hand over the work you've paid for.

8. Accessibility and legal compliance of what we build

We build to current good practice. Unless the Proposal says so, we do not guarantee that a website or app meets any particular accessibility standard (such as WCAG) or any law specific to your industry. If you need a specific standard met, we'll scope and price it in the Proposal. You are responsible for your own privacy policy, terms and legal notices on your website, unless the Proposal says we'll provide them.

9. Warranties and liability

9.1 We do the work in a professional and workmanlike manner. Other than that and the fix period in Section 6.1, the work is provided "as is," and we do not guarantee any traffic, ranking, leads, sales or other result.

9.2 Neither party is liable for indirect or consequential losses, including lost profits or lost data.

9.3 Our total liability for a project is limited to the amount you paid for that project. For ongoing plans, it is limited to the amount you paid in the three months before the claim.

9.4 These limits don't apply to your payment obligations or to either party's gross negligence or willful misconduct.

10. General

Florida law governs these terms. Disputes go to the state or federal courts in Pinellas County, Florida. Notices go to the email on the Proposal for you, and to ziadkarame@krmconsulting.ai for us.
